This Service Agreement (“Agreement”) is made between BigSEO (“Service Provider”) and the client (“Client”) to outline the terms and conditions of SEO and writing services provided by BigSEO. By engaging with our services, the Client agrees to the terms specified below.
BigSEO agrees to provide the following services to the Client:
On-Page SEO: Keyword research, content optimization, meta tags, internal linking, etc.
Off-Page SEO: Link building, social media signals, influencer outreach, etc.
Technical SEO: Site audit, speed optimization, mobile optimization, etc.
Content Strategy: Content creation and optimization for better rankings and engagement.
Content Creation: Blog posts, articles, landing pages, product descriptions, etc.
Content Editing: Proofreading, formatting, and rewriting existing content.
Copywriting: Sales pages, email campaigns, advertising copy, etc.
The scope of work may be customized as per the Client’s specific needs, which will be mutually agreed upon in writing before the start of the project.
The pricing for the services will be determined based on the scope of work outlined above, as agreed in the service proposal. Pricing may vary depending on the complexity and duration of the project.
Hourly Rate: $[insert rate] per hour (for consulting or specialized work).
Flat Rate: $[insert price] for specific packages (e.g., SEO audit, monthly blog posts, etc.).
Custom Pricing: Pricing for custom SEO strategies or writing projects will be quoted based on the Client’s needs and requirements.
Deposit: A [X]% deposit is required to begin the project.
Final Payment: The remaining balance is due upon completion of the project or as agreed upon in the contract.
Payment Methods: Payments can be made via pay methods, e.g., PayPal, bank transfer, credit card.
All payments must be made in full before the delivery of services unless otherwise agreed upon.
BigSEO agrees to complete the services within the agreed-upon timeframe. The timeline will be outlined in the service proposal or project agreement. However, delays may occur due to factors outside of our control (e.g., unforeseen technical issues, delays in receiving necessary materials from the Client).
A detailed timeline for deliverables will be provided at the beginning of the project.
Any changes to the scope or timeline will be discussed and agreed upon by both parties.
The Client is responsible for providing timely feedback, materials, and approvals to ensure deadlines are met.
To ensure the success of the project, the Client agrees to:
Provide Accurate Information: The Client will provide all necessary information, documents, or access to systems required to complete the services (e.g., website access, login credentials, etc.).
Timely Communication: The Client agrees to respond promptly to emails, phone calls, or requests for information and approval.
Cooperation: The Client will actively cooperate and communicate with the Service Provider to ensure the timely completion of the project.
Content Ownership: Upon full payment, the Client will own the rights to all content created as part of the SEO and writing services, subject to any third-party intellectual property rights.
Licenses: The Client acknowledges that certain third-party tools or resources used in providing SEO services (e.g., stock images, paid tools) may require licenses or subscriptions that the Client will be responsible for.
Both parties agree to maintain the confidentiality of any confidential information shared during the course of the project. This includes proprietary business information, login credentials, and other sensitive data.
Non-Disclosure Agreement (NDA): If necessary, a separate NDA can be signed to protect the confidentiality of the Client’s information.
BigSEO will not be liable for any indirect, consequential, or incidental damages arising from the use of its services. This includes but is not limited to loss of business, profits, or data.
SEO Results: While we strive to achieve optimal results, BigSEO does not guarantee specific rankings, traffic, or performance. SEO is an ongoing process and results may vary based on various factors beyond our control.
Either party may terminate this Agreement by providing written notice. In the event of termination:
By the Client: If the Client terminates the contract before the project is completed, the Client will be responsible for paying for all work completed up to the point of termination.
By BigSEO: If BigSEO terminates the Agreement due to non-payment or failure to provide necessary materials, the Client will be responsible for payment for services rendered up until the termination date.
In the event of any dispute arising from this Agreement, both parties agree to attempt to resolve the dispute through informal negotiations. If the dispute cannot be resolved informally, the matter may be referred to mediation or arbitration.
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles. Any legal actions or proceedings arising out of or relating to this Agreement shall be conducted in the courts of [Your Jurisdiction].
By engaging with our services and signing this Agreement (either electronically or in writing), both parties acknowledge and accept the terms and conditions outlined above.
