Service Agreement

This Agreement sets out the terms under which I, Muhammad Azam (BigSEO.Net), provide Local SEO, Google Business Profile optimisation, and digital marketing services to clients. By engaging my services, you confirm that you have read and agreed to these terms.

Scope of Work

The specific services to be delivered are agreed upon in writing before any project commences. The scope is defined in a project proposal or service brief, which forms part of this Agreement. No work will begin until the scope has been confirmed and the required deposit received.

SEO Services

Local SEO — on-page optimisation, Google Business Profile management, citation building, local content strategy, and map pack improvement

Technical SEO — site audits, page speed improvement, crawlability, structured data, and Core Web Vitals optimisation

Off-Page SEO & Link Building — outreach-based link acquisition, digital PR, and authority building from relevant, high-quality sources

AI SEO & AEO — optimisation for AI-powered search surfaces, answer engine visibility, and generative search presence

SEO Audits — comprehensive technical and content audits with prioritised, actionable recommendations

Website Services

Website Design & Development — WordPress-based website builds using Elementor, optimised for performance, SEO, and conversion

Landing Page Creation — targeted pages built around specific services, locations, or campaigns

Any work outside the agreed scope — additional pages, platforms, services, or deliverables — will be treated as a separate engagement and quoted accordingly before commencement.

Pricing & Payment

All fees are agreed upon in writing prior to the start of any project. Pricing is determined by the scope, complexity, and duration of the engagement, and will be clearly stated in the service proposal.

Payment Structure

Deposit — a deposit of 50% of the total project fee is required before work begins. This confirms your commitment and allows me to allocate time and resources to your project

Balance payment — the remaining 50% is due upon project completion and prior to the handover of any final deliverables, unless otherwise agreed in writing

Retainer services — for ongoing monthly engagements, payment is due at the start of each billing cycle, in advance of that month’s work

Payment Methods & Terms

Accepted methods — bank transfer, PayPal, and other methods as agreed at the time of engagement

Late payment — invoices not settled within 7 days of the due date may result in work being paused until payment is received

Currency — all fees are quoted in USD unless otherwise specified in the proposal

Please note: All prices are exclusive of any applicable taxes. Clients are responsible for any taxes or duties applicable in their own jurisdiction. For refund terms, please refer to my Refund Policy.

Project Timeline & Deadlines

A project timeline will be provided at the outset of each engagement, outlining key milestones and estimated delivery dates. All timelines are estimates based on the agreed scope and are subject to the timely provision of required materials by the client.

Timeline commencement — the project clock starts from the date the deposit is received and all required client materials have been provided

Client-caused delays — if delays occur due to late feedback, missing access credentials, or withheld approvals, the timeline will be extended accordingly and I accept no liability for missed deadlines in these circumstances

Scope changes mid-project — any additions or changes to the agreed scope may affect the delivery timeline; revised timelines will be communicated in writing before additional work begins

Force majeure — neither party shall be held liable for delays caused by circumstances beyond their reasonable control, including but not limited to platform outages, algorithm changes, or technical failures at third-party service providers

SEO is a long-term discipline. Timelines reflect the delivery of agreed work — not the appearance of ranking improvements, which are governed by search engine systems outside my control. For more on this, please see my Disclaimer.

Client Responsibilities

A successful engagement depends on active collaboration. To ensure the project runs smoothly and on time, I ask that clients commit to the following:

Provide accurate information — all business details, login credentials, access to platforms, and content materials must be provided promptly and accurately. Incomplete or incorrect information may impact the quality and timing of deliverables

Respond in a timely manner — feedback, approvals, and answers to questions should be provided within 3 business days of being requested, unless an alternative timeframe has been agreed

Grant necessary access — this includes access to Google Business Profile, Google Search Console, Google Analytics, website CMS, and any other platforms relevant to the agreed scope of work

Review and approve deliverables — clients are responsible for reviewing all submitted work and raising any concerns within the revision window outlined in Section 6

Implement recommendations — where technical SEO changes or content updates require action on the client’s own systems, the client is responsible for implementing these in a reasonable timeframe

My Responsibilities

In return, I commit to the following standards across every engagement:

Deliver agreed work to specification — all deliverables will be produced in accordance with the agreed scope, using current best practices aligned with Google’s quality guidelines

Communicate proactively — I will keep you informed of progress, flag any issues as soon as they arise, and respond to your messages within 1–2 business days

Maintain confidentiality — your business information, login credentials, and project details will be handled with strict confidentiality as outlined in Section 7

Work ethically — I apply only white-hat, sustainable SEO techniques. I will never use tactics that put your website at risk of a Google penalty

Provide transparent reporting — where reporting is included in the agreed scope, I will deliver clear, honest updates on performance and progress

Revisions & Scope Changes

Each project includes a reasonable number of revisions as specified in the service proposal. Revisions are defined as adjustments to work already delivered — not new additions or changes to the original brief.

Included revisions — the number of revision rounds included is stated in the project proposal. All revision requests should be submitted together rather than incrementally, to keep the process efficient

Additional revisions — revision requests beyond the included allowance will be scoped and quoted separately before work proceeds

Scope changes — any request to add to, remove from, or significantly alter the agreed scope of work after a project has commenced will be treated as a change order. I will provide a revised quote and timeline before proceeding

Revision window — revision requests must be submitted within 7 days of delivery. Work accepted without feedback within this window is considered approved

Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the engagement. This includes, but is not limited to, business strategies, login credentials, client data, pricing, and project details.

My obligations — I will not disclose, share, or make use of your confidential information for any purpose other than delivering the agreed services

Client obligations — the client agrees not to share my proprietary methodologies, strategies, templates, or deliverables with third parties without prior written consent

Duration — confidentiality obligations remain in effect during the project and for a period of 2 years following its conclusion

Portfolio use — unless you request otherwise, I reserve the right to reference our engagement as part of my professional portfolio, without disclosing any confidential business details

Intellectual Property

Upon receipt of full and final payment, all original work created specifically for the client as part of the agreed project scope — including written content, design assets, and website builds — is transferred to the client.

Pre-existing materials — any tools, frameworks, templates, methodologies, or processes I use during the project remain my intellectual property and are not transferred to the client

Third-party assets — where third-party licensed assets (images, plugins, fonts, etc.) are incorporated into a deliverable, their use is governed by the respective licence terms

Ownership before full payment — intellectual property in any deliverable remains with me until full payment has been received. I reserve the right to withhold final files until outstanding balances are cleared

Limitation of Liability

To the fullest extent permitted by applicable law, my total liability to the client under or in connection with this Agreement — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

No liability for indirect losses — I am not liable for any indirect, consequential, or incidental losses, including but not limited to loss of revenue, loss of business, or loss of data

No liability for third-party actions — I accept no responsibility for changes made by Google, Bing, or any other platform that affect your rankings, visibility, or traffic following the delivery of services

No liability for client errors — I accept no responsibility for issues arising from inaccurate information provided by the client, or from changes the client makes to their website or accounts after project handover

Termination

Either party may terminate this Agreement by providing written notice. The following terms apply upon termination:

Notice period — a minimum of 14 days’ written notice is required from either party to terminate an ongoing engagement

Work completed to date — the client is responsible for payment for all work completed up to the date of termination, calculated proportionally against the agreed project fee

Deposit non-refundable on client termination — if the client terminates the agreement after work has commenced, the deposit is non-refundable as it covers time already allocated and work already performed

Termination by me — I reserve the right to terminate this Agreement immediately if the client acts in a manner that is abusive, unethical, or in breach of these terms, or fails to make payment within the agreed timeframe

Upon termination, I will provide the client with all completed deliverables to date, subject to any outstanding payment being settled in full.

Governing Law

This Agreement is governed by the laws of Pakistan, where BigSEO.Net is based. However, I work with clients across the USA, UK, and UAE, and I will always endeavour to resolve any disputes amicably and professionally before formal legal channels are considered.

For UK-based clients, your statutory consumer rights under the Consumer Rights Act 2015 remain unaffected by any term of this Agreement. Nothing in this Agreement limits or excludes rights you are entitled to by law.

Dispute resolution: In the event of any dispute, both parties agree to first attempt resolution through direct, good-faith communication within 30 days before pursuing any formal legal action.
